1. Parties and acceptance

Service provider: Connept Kennels. Contact us using our contact form.

These Terms are entered into between Connept Kennels and the person or organisation using the Service (“Customer”, “you” or “your”). By creating an account, starting a trial, placing an order, clicking to accept these Terms or using the Service, you agree to be bound by them.

If you act for a business or other organisation, you warrant that you have authority to bind it. If you do not agree to these Terms, you must not access or use the Service. Nothing in these Terms excludes any right or remedy that cannot lawfully be excluded.

2. Definitions and contractual documents

“Service” means the Connept Kennels cloud-based software, website, associated features, support and documentation made available by us. “Subscription” means the recurring right to access the Service under the selected plan. “Order” means the plan, price, billing interval, trial and other particulars displayed and accepted at checkout.

These Terms, the Order, our Privacy Policy, Cookie Policy, Refund Policy and any applicable data-processing terms form the agreement between you and us concerning the Service. Paddle's Buyer Terms and Privacy Notice separately govern the payment transaction and Paddle's processing.

3. The Service

Connept Kennels is business administration software intended to assist boarding kennels with bookings and stays, owner and dog records, care notes, occupancy, finances and reporting. We grant you a limited, non-exclusive, non-transferable and revocable right to use the Service during an active trial or paid Subscription in accordance with these Terms.

The Service does not provide veterinary, medical, legal, regulatory, tax or accounting advice. You remain responsible for animal welfare, professional decisions, record accuracy, staffing, safeguarding, licences, insurance and compliance with all laws and standards applying to your activities and location.

4. Eligibility, accounts and authorised users

Users must be at least 18 years old and legally capable of entering into a contract. You must provide complete and accurate information, keep it current, protect credentials, use appropriate permissions and notify us promptly of suspected unauthorised access. You are responsible for activity carried out through accounts and users you authorise.

5. Trials

Where offered, a 14-day free trial begins when activated through checkout. Payment details may be required. Unless cancelled before the trial expires, the trial will convert automatically to the selected paid Subscription and Paddle will charge the payment method shown at checkout. Eligibility may be limited to new Customers, and one trial may be permitted per Customer or business unless we agree otherwise.

The checkout will show the applicable trial, first charge date, price and billing interval before acceptance. Statutory cancellation rights remain unaffected.

6. Paddle as Merchant of Record

We use Paddle as our Merchant of Record and authorised reseller. When you purchase through Paddle Checkout, the payment transaction is between you and the applicable Paddle entity. Paddle is responsible for collecting payment, issuing transaction documents, calculating and remitting applicable transaction taxes, and performing payment-related compliance as described in its terms.

Your licence and right to use the Connept Kennels Service are supplied by Connept Kennels and remain governed by these Terms. Your purchase is also subject to Paddle's Buyer Terms and Paddle's Privacy Notice. If these Terms conflict with Paddle's terms concerning the payment transaction, Paddle's terms govern that transaction; these Terms continue to govern access to and use of the Service.

7. Prices, taxes and payment authorisation

The checkout shows the total price, currency, billing interval, applicable taxes and trial before an Order is accepted. Localized prices may vary by country. You authorise Paddle and its payment-service providers to charge the selected payment method when each amount becomes due, including after a trial and at renewal.

If payment fails, Paddle may retry collection and we may, after reasonable notice where appropriate, restrict or suspend access until payment is resolved. Suspension does not remove payment obligations already incurred. You are responsible for maintaining valid billing and contact details.

8. Automatic renewal and cancellation

Subscriptions renew automatically for successive periods matching the billing interval selected at checkout unless cancelled before the next renewal date. The current renewal date and billing information will be available through the relevant account or Paddle transaction communications. We or Paddle will provide reminders where required by applicable law.

You may request cancellation using available account controls, Paddle's buyer support routes or our contact form. Unless applicable law or the Order states otherwise, cancellation stops future renewal and takes effect at the end of the current paid period. Access ordinarily continues until that date.

9. Refunds and statutory cancellation rights

Refunds are governed by applicable law, our Refund Policy and Paddle's applicable Buyer Terms. Approved refunds are processed through Paddle to the original payment method where practicable.

If you contract as a consumer, you may have mandatory cancellation, cooling-off, renewal and conformity rights that vary by jurisdiction. Nothing in these Terms restricts those rights. Where immediate performance affects a statutory cancellation right, the required request, consent or acknowledgement must be obtained before that effect applies.

10. Acceptable use

You must not: use the Service unlawfully; infringe another person's rights; upload malicious code; attempt unauthorised access; probe or circumvent security; interfere with availability; copy, reverse engineer or resell the Service except where law expressly permits; submit unlawfully obtained information; or use the Service in a way that exposes animals, individuals, us or another party to harm.

11. Customer data and data protection

You retain your rights in Customer data. You grant us the limited rights necessary to host, process, transmit, secure, back up and support that data to provide the Service. You warrant that you have a lawful basis, required notices, permissions and contracts for all personal data entered into the Service.

Where we process personal data on behalf of a business Customer, applicable data-processing terms will apply. Our Privacy Policy explains our own processing and Paddle's role in checkout and billing.

12. Intellectual property

We and our licensors retain all intellectual-property rights in the Service, software, design, branding, documentation and related materials. No ownership right transfers to you. You may provide feedback, and we may use it to develop or improve the Service without identifying you or disclosing confidential Customer data.

13. Availability, support and changes

We will use reasonable skill and care in providing the Service but do not guarantee uninterrupted or error-free availability. Maintenance, updates, internet failures, third-party services, security events and circumstances beyond reasonable control may affect access. We may modify features for legal, security, technical or operational reasons, provided that we do not materially reduce the core paid Service without appropriate notice or remedy.

14. Suspension and termination

We may suspend or terminate access where reasonably necessary because of non-payment, security risk, unlawful activity, material breach, misuse or a legal requirement. Where appropriate, we will provide notice and a reasonable opportunity to remedy the issue. On termination, your licence ends. Data export, return, retention and deletion will be handled under the applicable plan, Privacy Policy and data-processing terms.

15. Warranties and disclaimers

We warrant that the Service will be provided with reasonable skill and care. Subject to mandatory law, the Service is otherwise supplied on an “as available” basis. We do not warrant that it will meet every individual business requirement, replace professional judgement, or ensure compliance with laws applying to your kennel or country.

16. Liability

Consumers: we do not exclude or limit liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or breach of mandatory consumer rights. We are responsible for foreseeable loss caused by our breach, but not business loss arising from consumer use.

Business Customers: neither party excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or liability that cannot lawfully be limited. Subject to that, neither party is liable for indirect or consequential loss or for loss of profit, revenue, anticipated savings, goodwill, business opportunity or data where avoidable through reasonable backup practices. Our aggregate liability arising in any 12-month period will not exceed the fees paid or payable for the Service in that period.

17. Local-law responsibility

The Service is operated by an English company and these Terms are prepared under English law. Availability of the website, localized pricing or a translated notice does not represent that the Service or these Terms satisfy every legal requirement in another country. Before using the Service, you must obtain appropriate advice and ensure that your use, data processing, consumer arrangements, animal-care operations and business practices comply with the laws of every country in which you use it.

18. General provisions

If any provision is unlawful or unenforceable, it will be modified to the minimum extent necessary and the remainder will continue. A delay in enforcing a right is not a waiver. You may not transfer this agreement without our consent. We may transfer it as part of a genuine reorganisation, financing or sale, provided your mandatory rights are not reduced. No person other than the parties has a right to enforce these Terms unless expressly stated.

19. Changes to these Terms

We may update these Terms for legal, regulatory, security, technical or business reasons. We will provide reasonable advance notice of material changes where required. If a material discretionary change substantially disadvantages you, you may cancel before it takes effect, unless the change is legally required or urgently necessary for security.

20. Governing law, disputes and contact

These Terms and any non-contractual dispute are governed by the law of England and Wales. Business Customers submit to the exclusive jurisdiction of the courts of England and Wales. Consumers retain any mandatory right to rely on the law or courts of their country of residence. Payment-transaction disputes involving Paddle may also be governed by Paddle's Buyer Terms.

Please raise questions, complaints and cancellation requests through our contact form. We will try to resolve complaints fairly and promptly.
